Business Terms of Service (B2B)

Last updated: 04/10/2026 · v1.7

These Business Terms of Service (the “B2B Terms”) govern the contractual relationship between JOBO PEOPLE TECHNOLOGIES, S.L., Sociedad Unipersonal (sole-shareholder company), holder of tax ID B88736665, with registered address at Calle Barrau 1, Bloque H, Portal 6, 1.º A, 41018 Seville, Spain, a company registered with the Commercial Registry of Seville on 13 July 2026, Sheet SE-156075, entry 1 (electronic folio, IRUS 1000476911362), incorporated by public deed no. 1396 of 13 May 2026 before Notary Mr José María Florit de Carranza of the Notarial College of Andalusia (hereinafter, “JOBO”), and the legal entity that subscribes to the Service (the “Customer”). Access to and use of the Platform by the Customer or any Authorised User implies express, full and unreserved acceptance of these B2B Terms, the Data Processing Agreement (DPA) and the Privacy Policy, which form an integral part of the contract.

1. Subject matter and description of the service

JOBO is an AI-assisted SaaS platform that allows the Customer to publish selection processes, receive applications, generate and manage assessments (situational judgement, technical, visual, cognitive, management simulation and others) and obtain aggregate fit reports per candidate. JOBO acts as a technology provider; it is neither an employment agency, an employer nor a labour intermediary.

2. Customer account and Authorised Users

2.1. Whoever creates the account warrants having sufficient capacity and authority to bind the Customer. 2.2. The Customer is responsible for any activity performed from its account and by its Authorised Users (admins, recruiters, viewers). 2.3. The Customer must immediately report any unauthorised access and keep its billing, tax and contact information truthful and updated.

3. Plans, billing and process consumption

3.1. JOBO offers two modalities, with pricing always expressed per process: (i) pay per use, with a monthly maintenance fee fully credited against the next process plus a price per process; and (ii) prepaid annual quotas of 6, 12 or 24 processes per year, plus a tailored quota from 48 processes upwards whose per-process price decreases continuously with volume, all with no monthly fee, at the per-process price, promotions and other conditions described on the pricing page. Promotional prices (including Plan Origen, the founder price reserved for the first 30 companies) are valid until 31 December 2026 or until that allocation is exhausted, whichever occurs first; the price contracted under the promotion remains in force while the account stays active. 3.2. A “process” means the opening of a Job in active status and consumes one unit of the contracted quota; each declared hire likewise consumes one unit of the quota, except the first hire of each process, which is included in it; additional processes beyond the quota are billed at the same per-process price of the contracted quota (or, under pay per use, at that modality's per-process price), and several may be purchased in a single payment. The welcome process of clause 3.5 is excepted and is not billed. Unused processes of an annual quota are converted, upon renewal, into a discount credit on the following period's fee, valued at the per-process price actually paid and capped at ten percent (10%) of the contracted quota, rounded up to the next whole number; the credit only applies if the Client renews — absent renewal, unused processes lapse with no right to compensation or refund. 3.3. Subscriptions auto-renew unless cancelled with the notice indicated on the website. 3.4. Payments are processed through Stripe Payments Europe Ltd. The Customer expressly authorises JOBO to automatically charge the payment method on file, with no further action on the Customer’s part, for amounts accrued on units exceeding its quota, including hires declared under clause 3.2. The amount is shown on the Platform before the operation is confirmed. If the charge cannot be completed (e.g. expired card or issuer-required authentication), the hire remains declared for all purposes of clause 4 and the amount falls due, JOBO being entitled to retry or claim it. No refunds are granted for services already rendered or processes already activated, save for any mandatory legal entitlement.

3.5. Welcome process (free). The first time a company (identified by its tax ID) uses JOBO, it may receive one (1) free selection process. It is single-use per company and reserved for companies that have not yet used the Platform: it is not granted again on renewals or on any subsequent subscription or purchase. It is granted through one only of the following two routes, depending on how the Customer starts:

(i) Without prior payment. The Customer chooses the modality it will continue with, without providing any payment method; it opens its free process and is only billed for the committed modality if it hires a candidate originating from that process, at which point the Platform asks it to pay. If it does not hire, it is charged nothing.

(ii) Together with a contracted package. If the Customer contracts an annual quota directly, the welcome process is granted as one additional unit on top of the contracted quota: it is not billed, it does not change the package price, it does not consume quota for the purposes of clause 3.2 and it does not count towards the renewal credit of that clause. If the Customer starts on pay per use, it is granted as a discount equal to the price of one (1) process on its first process purchase.

Counterpart (both routes). The welcome process is granted subject to the Customer posting on LinkedIn that it works with JOBO and keeping that post for at least one (1) year. This is acharge of the promotion, not consideration for an advertising service: it is not invoiced, not remunerated, and no economic value is attributed to it between the parties. It is expressly accepted when requesting it, in accordance with the Promo Terms; without that acceptance the welcome process is not granted — and the package purchase proceeds as normal, with no gift and no obligation whatsoever. The post mustclearly identify that it is made in the context of a commercial collaboration with JOBO. If the Customer fails to post or removes the post before the twelve (12) months are up, JOBO may require it to remedy this and, failing that, invoice the welcome process at the list price per process in force, on the terms of the Promo Terms.

Contracting a package consumes the welcome process. Once granted through route (ii), route (i) is no longer available, and vice versa. In both cases, the hiring disclosure obligation of clause 4 applies equally to the welcome process: if the Customer hires a candidate originating from it, it must disclose it within the same time limits and conditions, and the penalty clause of clause 4 applies. The welcome process covers one (1) hire only: if the Customer hires more than one candidate from that same process, subsequent hires are billed as an additional process under clause 3.2. The specific conditions of the welcome process are thePromo Terms and the prices published on the pricing page on the date the Customer requests it; as regards the welcome process, those Terms prevail over this clause.

4. Candidate origin attribution and disclosure obligation

4.1. Origin attribution. A “JOBO-originated candidate” is any candidate who has started at least one assessment through the Platform within a process of the Customer, evidenced by the Candidate.appliedAt record associated with a Job of the Customer. This condition persists for twelve (12) calendar months from the candidate’s last activity on the Platform for processes of the Customer.

4.2. Disclosure obligation. The Customer undertakes, within a maximum of fourteen (14) calendar days from the execution of any employment, commercial, internship or similar agreement with a JOBO-originated candidate, to declare the hire on the Platform using the “Hire” action of the corresponding process. A single process may record several hires, and all of them must be declared. Closing the process is at the Customer’s discretion: declaring a hire does not close it, and the Customer may keep it open to continue hiring. This obligation applies even if initial contact has been resumed through other channels (email, LinkedIn, referral, direct call, in-person event), even if the candidate had previously been rejected by the Customer or self-rejected, and even if hiring is formalised through a group company, an affiliate or a related entity of the Customer.

4.3. Penalty for breach. Breach of any of the foregoing obligations entitles JOBO to charge the Customer, as a penalty clause (article 1152 of the Spanish Civil Code), per undisclosed candidate, an amount proportionate to the Customer’s active plan: the equivalent of six (6) effective monthly fees of that plan plus the price of one additional process of the same. This formula replaces any fixed floor or ceiling, ensuring proportionality with the real value of the Service contracted (article 1154 of the Spanish Civil Code). These amounts are cumulative, do not exclude other legal actions for damages, and accrue from the date the hire is formalised.

4.4. Verification. JOBO may require reasonable supporting documentation from the Customer to verify hires of JOBO-originated candidates; the Customer undertakes to cooperate in good faith within fifteen (15) calendar days.

4.5. Anti-circumvention. Any conduct designed to evade section 4 obligations is expressly prohibited, including, by way of example: (i) not opening processes on the Platform and relying solely on the pool of previously assessed candidates, (ii) closing a process without declaring the hired candidate and opening a new one under the same plan, (iii) hiring through group companies, affiliates or third parties without passing on the obligations of this section, or (iv) conditioning hiring on Service termination. The occurrence of any of these will be deemed wilful breach for the purposes of the penalty clause.

5. Customer content and intellectual property

5.1. The Customer retains ownership of any information it contributes to the Platform (job descriptions, requirements, corporate brand). It grants JOBO a worldwide, non-exclusive, royalty-free, sublicensable licence strictly limited to operating the Service. 5.2. JOBO retains all rights to the Platform, its software, models, prompts, assessments and any derivative work, including models derived from anonymised aggregate Service usage. 5.3. The following are prohibited: (a) reverse engineering, (b) scraping or massive data extraction, (c) reuse of questions, assessments or reports outside the Platform, and (d) use of data generated by JOBO to train external AI models without express written authorisation.

6. Privacy, AI and responsible use

6.1. GDPR roles. With respect to candidates’ personal data, the Customer acts as Data Controller and JOBO as Processor, on the terms of the Data Processing Agreement linked to these B2B Terms.

6.2. AI Act and human review (essential condition). The Customer acknowledges that JOBO qualifies as a high-risk AI system under Regulation (EU) 2024/1689 (AI Act), Annex III, point 4, regarding employment decisions. The Customer undertakes to ensure meaningful human intervention before any decision having legal effect on the candidate and not to use Service outputs as a final automated decision (article 22 GDPR). This human-review obligation is an essential condition of the contract: its breach entitles JOBO to terminate the contract with immediate effect.

6.3. JOBO internal checks. JOBO may carry out, on a voluntary and internal basis, strictly technical checks of the Service’s functioning. Such checks do not constitute validation of any candidate’s suitability or a hiring recommendation, create no obligation or precedent, and do not transfer to JOBO any liability for selection decisions, which rest solely with the Customer.

6.4. Use of candidate video. The Customer and its Authorised Users may only view candidate videos within the Platform and for the relevant process. Downloading, copying, distributing or reusing them outside the process is prohibited. Misuse entitles JOBO to a tiered penalty of €500, €1,000 or €5,000 per incident depending on severity, plus immediate termination of the contract, without prejudice to claims for damages (see also the DPA).

6.5. The Customer undertakes to publish only real, non-discriminatory, lawful and truthful job offers.

6.6. AI literacy and internal dissemination (Article 4 AI Act). JOBO makes the AI Guide permanently and free of charge available to the Customer from its dashboard, explaining which parts of the Service use artificial intelligence and which do not, who decides what along the assessment chain, the expressly prohibited uses and the candidate’s complaint channels. The Customer acknowledges that, as deployer, it bears its own AI literacy obligation under Article 4 of Regulation (EU) 2024/1689, and assumes responsibility for making that Guide available to all its Authorised Users and to any person within its organisation involved in selection processes —administrators, recruiters and viewers— before they access candidate assessments, as well as for ensuring that they have read it and hold sufficient knowledge to interpret the Service’s outputs. JOBO drafts, versions and keeps the material up to date and notifies new versions in accordance with clause 12; dissemination within the Customer’s organisation and its internal record-keeping are the Customer’s responsibility. The reading confirmation recorded on the Platform by whoever contracts or uses the Service evidences JOBO’s delivery of the material but does not replace that internal dissemination, nor does it transfer any responsibility for it to JOBO.

7. Service availability

JOBO will use commercially reasonable efforts to keep the Platform available, with an indicative target of monthly availability, without this constituting a contractual service-level commitment (SLA) or giving rise to any right to credit or compensation. The following are excluded from the calculation: scheduled maintenance windows announced at least 48 hours in advance, incidents at infrastructure providers (Google Cloud, Neon, Stripe, ElevenLabs, Sentry), incidents arising from Customer misuse, and force majeure events. The Platform is provided “as available”, without implied warranties beyond those mandatorily required by applicable law.

8. Limitation of liability

8.1. Save for wilful misconduct, gross negligence or direct personal injury, JOBO’s total cumulative liability towards the Customer for any claim arising out of or in connection with the Service is limited to the amount actually paid by the Customer to JOBO during the twelve (12) months preceding the event giving rise to the claim. 8.2. JOBO is not liable for indirect damages, loss of profits, loss of customers, loss of hiring opportunities, reputational damages, nor for hiring or rejection decisions made by the Customer.

9. Confidentiality

Each party undertakes to treat as confidential any commercial, technical, financial or personal information to which it has access by reason of the contract, during its term and for five (5) years thereafter. The obligation does not extend to information that is public, lawfully obtained from third parties, or required by competent authority.

10. Term, termination and consequences

10.1. The contract enters into force upon plan activation and remains effective while the subscription is active. 10.2. Either party may terminate effective at the end of the current period via the channels provided. 10.3. JOBO may suspend or terminate the Service with immediate effect for non-payment, fraud, misuse, breach of sections 3, 4, 5 or 6, or upon a competent authority’s requirement. 10.4. Termination does not extinguish section 4 obligations (disclosure and penalty) accrued or accruing during the twelve (12) months following service termination, nor section 9 obligations (confidentiality).

11. Assignment and subcontracting

The Customer may not assign the contract without JOBO’s prior written consent. JOBO may subcontract Service provision to the subprocessors listed in the Privacy Policy and the DPA, with the safeguards and limitations set out therein.

12. Amendments

JOBO may amend these B2B Terms by giving the Customer at least thirty (30) days’ notice. Continued use of the Service after entry into force implies tacit acceptance; objection entitles the Customer to terminate without penalty at the end of the current period.

13. Governing law and jurisdiction

The contract is governed by Spanish law and EU law. The parties, with express waiver of any other jurisdiction that may correspond to them, submit to the Courts and Tribunals of Seville (Spain) for the resolution of any dispute, without prejudice to mandatory consumer rights that may apply.
